What we do:
We build, acquire, lease-up and operate telecommunications towers that can accommodate and power the needs of multiple tenants. Our tenants are the major Mobile Network Operators (MNOs) and we serve them across nine high-growth markets (8 in Africa + Oman in the Middle East). Overview:
Reporting to the Deputy Company Secretary, you will play a pivotal role in supporting the Deputy Company Secretary.
Responsibilities:
- Supporting the Deputy Company Secretary, and assisting with the drafting of, the Governance Report to the Helios Towers plc Annual Report, including s172 statement and any adhoc cosec sections.
- Supporting the Deputy Company Secretary with the Annual Report process, liaison with the Registrars and mailing to shareholders.
- Assisting and supporting the Deputy Company Secretary in the preparation, and logistics, of the AGM.
- Supporting the Deputy Company Secretary with the Board Review process.
- Day-to-day Board activities include the administration of Board and Committee meetings, uploading papers to Diligent Boards, contacting Board members and supporting with the preparation of the CEO Report for the Board.
- Subsidiary company compliance including liaising with Operating Company Legal teams and ensuring Diligent Entities is up to date for all subsidiary companies.
- Ensuring compliance with UK Companies Act for all UK companies.
- Drafting subsidiary board minutes, written resolutions, shareholder resolutions to make relevant company changes, and arranging signatures of statutory accounts, working with the Legal team, as required.
- Management and oversight of the statutory and regulatory filings and requirements for overseas subsidiary entities, including liaising with overseas Company Secretarial providers as required.
- Assisting and supporting the Deputy Company Secretary with liaising with external providers for the release of RNS announcements, FCA notifications, and updating the company’s website.
Requirements for the role:
- CGI qualified with at least 5 years’ experience in the company secretarial field.
- Plc listed experience essential.
- Diligent Boards and Entities experience essential.
- A sound grasp of corporate governance issues and a commercial frame of mind.
- Attention to detail and a well-organised approach.
- Good organisation, communication skills, both written and verbal, and confident in communicating effectively with stakeholders at all levels.
- A team player, who can work effectively and collaboratively with colleagues and stakeholders.
